PVS: Results of General Meetings of Shareholders 2009
Petroleum Technical Services Corporation has disclosed the results of its General Meetings of Shareholders held on 01/10/2009. The following resolutions were approved:
1. Adjustment of terms of the seasoned issue to increase Chater Capital from VND 1,000 bil to VND 2,000 bil as follows:
- Placement of 25 mil shares with strategic shareholders:
o Offering price is not lower than 80% of the average market price of 07 trading days before the ending of negotiation.
o Shares sold to strategic shareholders are under transfer restriction of 01 year after the day PVS complete all transfer procedures to shareholders.
- Transfer restriction of shares sold to employees is adjusted from 03 years to 01 year, starting from 01/01/2009.
- BOD is authorized to negotiate and select strategic partners and other issues related to the placement.
2. Change in the Board of Directors:
- Mr. Phung Tuan Ha and Mr. Nguyen Van Mau have resigned from Director.
- Mr. Nguyen Van Dan and Mr. Leu Minh Tien has been appointed Director.
3. Supplement of business scope as follows: “Management, exploitation and operation of buildings, hotels and amusement parks and resorts (not including properties trading); Provision of services attached to buildings, hotels, amusement parks and resorts (excluding discotheques, bars, karaoke); Hotel business, residential, office and service for hotels, residential and office (excluding discotheques, bars, karaoke)”
4. Adjustment of company name:
- Old name: Petroleum Technical Services Corporation
- New name: PetroVietnam Technical Services Corporation.
