PGC: Resolution of the General Meeting

Petrolimex Gas Joint Stock Company (PGC) announces the resolution of the General Meeting which was held under the method of collecting shareholders’ ballots:

Article 1: Approving the depository registration and the listing of all newly-issued shares (bonus shares with a ratio of 6%) on the Hochiminh Stock Exchange. 

Article 2: Approving the adjustment of the Company’s Regulations related to capital increase after the bonus stock issue is completed. The concrete adjustment is as follows:

Item 2 (Point 5): At the time of approving this charter capital, the company’s charter capital is VND250,000,000,000; it is divided into 25,000,000 shares with a par value of VND10,000/share.

Adjusted: Item 2 (Point 5): At the time of approving this charter capital, the company’s charter capital is VND264,998,230,000; it is divided into 26,499,823 shares with a par value of VND10,000/share.

Article 3: Authorizing the Board of Directors to: fulfill necessary procedures to register to deposit and list new shares and to adjust the term about charter capital in the Company’s Regulations.

Article 4: The resolution comes into effect from the date of signing, September 24th 2009.
