BVH: Resolution of the Shareholders’ Meeting

The shareholders of Baoviet Holdings unanimously agreed the following issues:

* Article 1: Approving the transference of 20,400,000 shares of Vietnam Shipbuilding Industry Group (Vinashin) in Baoviet Holdings to State Capital Investment Corporation (SCIC) and authorizing the Board of Directors of Baoviet Holdings to fulfill necessary procedures.

* Article 2: Approving the adjustment in Baoviet Holdings’ Regulations – the part relating to information on foundation shareholders.

* Article 3: Approving the appointment of Mr. Nguyen Quoc Huy to a BOD member of Baoviet Holdings in a term corresponding to the remaining term of the first BOD.

* Article 4: The resolution comes into effect from the date of signing, September 23rd 2009.
