SD5: Board Resolution

Song Da No. 5 JSC announces the Board Resolution approved on 18/8/2009 as follows:

1. Operating results of Quarter II/2009 and first half of 2009:

- Production: VND 302.567 bil. (65.1% of the 2009 plan)

- Net revenue: VND 340.659 bil. (66.9% of the 2009 plan)

- Profit before tax: VND 18.814 bil. (61.6% of the 2009 plan)

- Average income: VND 5.5 mil./month (123.8% of the 2009 plan)

2. Plans for Quarter III/2009 and second half of 2009 respectively:

- Production: VND 164.689 bil. and VND 385.163 bil.

- Net revenue: VND 155.000 and VND 310.000 bil.

- Profit before tax: VND 9.3 bil. and VND 22 bil.

- Average income: VND 4.2 mil.

3. Change in the Supervisory Board:

- Mr. Le Van Sinh, Chief Accountant of Son La Hydropower Project, has been appointed Member of Supervisory Board in place of Mr. Nguyen Manh Tien.

4. Capital for investments approved by Annual General Meeting of Shareholders 2009: VND 76.7 bil. Extra capital for investments: VND 52.47 bil. Total Investment for 2009: VND 129.17 bil.

5. Establishment of a joint-stock company, of which the Company holds the dominating number of shares.
