VNS: Resolution of the shareholders’ meeting
VIETNAM SUN CORPORATION (VNS) has informed of the resolution of the shareholders’ meeting under a ballot (01/07/2009 to 15/07/2009) as follows:
Article 1: Passing transference of the land in Thu Khoa Huan, HCMC
* Passing transference of the land in Thu Khoa Huan instead of implementing the project of Vinasun Tower.
* Authorizing the BOD to determine to do transference of the land in Thu Khoa Huan and to adjust the selling price not less than 22 taels of SJC gold per m2.
Article 2: Passing issuance of 3 million shares under private placement to raise chartered capital from VND170 billion to VND200 billion
* Passing issuance of 3 million shares under private placement to raise chartered capital from VND170 billion to VND200 billion
* The BOD to determine the list of investors who have the right to buy shares and to choose the appropriate time of issuance.
* Authorizing the BOD to negotiate and determine the specific offering prices to each investors at the price not less than VND40,000 per share.
* Authorizing the BOD to do issuance-related procedures .
Article 3: The resolution is valid from 18th July 2009.
