SAP: Results of Annual General Meeting of Shareholders 2009
Textbook Printing JSC In Hochiminh City has disclosed the results of its Annual General Meeting of Shareholders. The following resolutions were approved:
1. Report of Operating result of 2008
- Revenue: VND 27,055,221,727
- Profit before tax: VND 1,582,957,082
2. Plan in 2009
- Revenue: VND 31 bil.
- Profit before tax: VND 2.1 bil.
- Dividend payout ratio: 10%

4. Audited financial statement 2008 and profit distribution plan:
- Profit after tax: VND 1,371,675,188
- Profit 2007 moved to: VND 52,411,690
- Investment and Development Fund: VND 245,543,822
- Profit for distribution: VND
- Financial reserve fund: VND 56,306,568
- Reward and welfare fund: VND 225,226,273
- Dividend payment 2008 (6% in cash): VND 772,190,400
- Reward for Management board: VND 56,306,568
- Retained earning: VND 68,673,247
- Remuneration for Board of Directors: VND 150,000,000

7. Share issue plan to increase Chater Capital from VND12,869,840,000 to VND 26,100,000,000:
* Placement with outstanding shareholders with total value of VND 12,869,840,000 at VND 10,000/share.
- Undistributed shares will be sold to investors decided by the Board of Directors at the price not lower than price offered to outstanding shareholders.
* Placement with employees with total value of VND 360,320,000 at VND 10,000/share.
- Undistributed shares will be placed with members of Board of Directors.
* Proceed: VND 13,230,160,000
* Use purpose: investment in equipment
8. In case the share issue plan is unsuccessful, the Board of Directors will borrow capital and adjust to decrease the charter capital to VND12,869,840,000
