BCC: Results of Annual General Meeting of Shareholders 2009
BimSon Cement JSC has disclosed the results of its Annual General Meeting of Shareholders held on 6/5/2009. The following resolutions were approved:
1. Report of Opearting result of 2008
- Product Clinker: 1,731,571 tons
- Total product: 2,636,340 ton s
- Revenue: VND 1,936.135 billion
- Profit after tax: VND 216.011 billion
- Earn per share: VND 2,258/ share
2. Profit distribution 2008:
- Profit after tax: VND 216.011 billion
Including:
+ Dividend payment: VND 95.661 billion
+ Tax free profit transferred to Invetment and development fund: VND 60.483 billion
+ Profit for fund distribution: VND 59.747 billion
Fund distribution:
+ Financial reserve fund: VND 5.975 billion
+ Bonus for Manager fund: VND 0.5 billion
+ Invetment and development fund: VND 26.886 billion
+ Reward and welfare fund: VND 26.886 billion
3. Invest in building
4. Supplement in business lines:
- Retail in oil, petrol, gas.
5. Change in Company’s charter
6. Plan to increase Charter Capital and seasoned issue
The Meeting decided to issue undistributed shares of 2008 to increase Charter capital of the Company to VND 1,100 billion.
* Purpose of the issue: Funding the new manufacture line
* Issue method: to be decided by the Board of Directors, not less than book value of the Company at 31/12/2008 of VND 12,244/share.
6. Select auditor:
The Board of Directors will select 1 auditor from the list bellow:
- Auditing and Accounting Financial Consultancy Services Company Limited
- Vietnam Deloite Auditing company Ltd
- Viet Nam Auditing and Accounting Consultancy Company (AVA)
- E&Y Vietnam
8. Invest in gas station at Ninh Phuc, Ninh Binh Province
9. Invest in building
- Reclaim or change new the cement grinder
- End of job, running test to system console for produce
10. Plan in 2009
- Producing Clinker: 2,200,000 tons
- Total production: 3,000,000 tons
- Revenue: VND 2,383.65 billion
- Profit: VND 162.857 billion
Minimum dividend payment: 10%/ year
11. Change in BOD
- Mr. Doan Nam Khanh, Manager, has ben appointed Director in place of Ms. Phan Thi Nhuong.
