SMC: Resolution of the BOD

SMC Investment - Trading Joint Stock Company has informed of resolution of the BOD as follows:

1. Setting up the SMC Hiep Phuoc one-member limited company

* Head office: C5A Area C, Hiep Phuoc Industrial Zone, Nha Be, HCMC.

* Investment cost: VND30 billion

2. Appointing Mr Nguyen Ngoc Anh – Chairman of the BOD and General Director to President of the SMC Hiep Phuoc one-member limited company for the 5-year term from 11/06/2009 to 10/06/2014.

3 Authorizing the President of the company to do responsibilities and rights under regulations of the SMC Hiep Phuoc one-member limited company.

4. President of the SMC Hiep Phuoc one-member limited company must report business operation to its owners in the periodical BOD meetings.

5. Mr. Nguyen Ngoc Anh, the SMC Hiep Phuoc one-member limited company and departments of the SMC Investment - Trading Joint Stock Company have responsibilities to implement the resolution.
