SD5: Board Resolution

Song Da 5 JSC announces the Board Resolution approved on 16/05/2009 as follows:

1. Operating results of Quarter I/2009

2. Plan for Quarter II/2009

3. Investment in equipment in QI, QII/2009

- Investment in QI/2009: VND 61.093 bil. (80% of the investment plan 2009)

- Investment plan in QII/2009: VND 16.6 bil.

- Basing on the need of work, the Board decided to invest in equipment

- Register to buy a floor (5th floor) of building HH4 of Song Da Corporation, My Dinh to locate the head office of the company; source from Investment and development fund.

- Investment in Song Chay 4 hydropower project, in Hoang Su Phi, Ha Giang province, expected capacity of 14.5 MW.

- Studying, looking for a apartment building project in Hanoi to invest, construct and sell stafff of the company.

4. Others:

- Mr Hoang Viet Thanh will hold Secretary of the Board of Directors.

- Liquidate some unusable assets, equipment, material.

- Move Management boad and all the staff of Song Da 5.02 enterprize in Tuyen Quang to Son La hydro power plant (expected at the end of June)

- Upgrade Representative office of the company in Hanoi to Branch of Song Da 5 JSC in Hanoi.

- Settle the work Tay Nghe An road and DT 176 by-road at the end of QII/2009.
