VTA: Resolution of the annual shareholders’ meeting 2008
Vitaly Joint Stock Company (VTA: VITALY) has informed of resolution of the annual shareholders’ meeting as follows:
Article 1: The shareholders passed the voting method at meeting.
Article 2: The shareholders passed 2008 business results but did not pass 2009 business plans:
2.1 The 2008 business results:
- Sales: VND166,736,000,000
- Profit: -VND4,714,000,000
2.2 The 2009 business plans:
- Output: 4,220,000m2 / a year
- Selling production: 4,300,000m2 / a year
- Sales: VND235,542,000,000
- Profit: VND1,000,000,000
- The voting rate (65%) was not gotten so the BOD had to rebuild these items.
Article 3: The BOD’s 2008 report was not approved and the BOD must adjust it.
Article 4: The Supervisory Board’s 2008 report was not approved and the Supervisory Board must adjust it.
Article 5: Approving of re-electing all members in the BOD and Supervisory Board:

Article 6: Approving of assigning the chairman of BOD and the CEO to:
Mr. Le Minh Duc – The Chairman of BOD
Mr. Tran Cong Hanh – The CEO
Article 7: Approving of the 2008 compensation for the BOD and the Supervisory Board.
Article 8: Approving of choosing Vietvalues Assurance & Consulting Co., Ltd. for 2009 financial statements.
Article 9: Approving of delisting on HoSE and moving to HaSTC.
Article 10: Assigning the BOD to implement this resolution.
