TBC: Results of Annual General Meeting of Shareholders 2008
ThacBa Hydropower JSC has disclosed the results of its Annual General Meeting of Shareholders. The following resolutions were approved:
1. Plan in 2009
- Revenue: VND 202.555 bil.
- Profit before tax: VND 110.6 bil.
- Profit after tax: VND 88.48 bil.
- Dividend payout ratio: 12.5%
2. Report of Supervisory Board’s activities
3. Audited financial statement 2008 and profit distribution plan:
- Profit after tax: VND 142,550,916,153
- Reduced tax used to supplement the Investment and Development Fund: VND 19,772,485,426
- Profit for distribution: VND 15,550,916,153
- Financial reserve fund: VND 1,555,091,615
- Investment and Development Fund: VND 4,198,747,361
- Reward and welfare fund: VND 4,116,906,244
- Dividend payment 2008 (20%): VND 127,000,000,000 (paid 6% already)
- Reward fund for management board: VND 500,000,000
- Retained earnings to supplement Investment and Development Fund: VND 5,180,170,932
- Remuneration for Management Board and Supervisory Board: VND 1,313,400,000
4. Payment for Board of Directors and Supervisory Board 2009: VND 576,936,000
5. Auditing company in 2009
- AASC Accounting and Auditing Consulting Services Ltd.
6. Amendmend of charter:
- Change the title “Manager” and “Deputy Manager” into “General Manager” and “Deputy General Manager”
7. Moving the listing from HASTC to HOSE in 2009
8. Assign the Board of directors to approve the contract of selling electricity (PPA) to EVN provided that all directors agree on.
9. Change in the Boards:
- Mr. Nguyen Quang Thang, Le Minh Tuan will not hold Directors
- Mr. Pham Anh Trang will not hold Member of Supervisory Board
- Mr. Nguyen Trong Hien, Vu Hoang Chuong will hold Directors
- Mr. Nguyen Tuan Linh will hold Member of Supervisory Board
