PTC: Resolution the annual shareholders’ meeting 2009

Post and Telecommunications Investment and Construction J.S Co. (PTC: PTIC., JSC) has informed of resolution of the annual shareholders’ meeting as follows:

1. Passing plans of business and investment results, 2008 financial statements with details as follows:

- Sales                                      :           VND441,570,000,000

- Profit after tax                          :           VND5,114,000,000

- Dividend payment                     :           4% / share

- Total payment                          :           VND3,800,000,000 / 9,500,000 shares

- Distributing investment and development fund:    14% of profit = VND715,960,000

- Ditributing financial reserve                          :     Undistributed in 2008

- Bonus and welfare fund for all employees     :      VND599,000,000

- Approving organization solutions of 2008 investment projects.

2. Passing 2009 business and investment plans as follows:

- Sales                                      :           VND454,000,000,000

- Profit after tax                          :           VND9,196,000,000

- Dividend payment                     :           7% / share

- Approving 2009 investment projects and organization solutions of 2009 investment projects.

3. Passing the 2008 operation report and 2009 operation orientations of the BOD.

4. Passing the 2008 operation report and 2009 operation orientations of the Supervisory Board.

5. Passing compensation rates of the BOD’s and the Supervisory Board’s members equaled to average per capita income / a month in 2009.

6. Continually approving the audited firm: Auditing and Consulting Co., Ltd for 2009 financial statements.

7. Passing the selected members of the Supervisory Board:

- Ms. Ngo Thi Hoang Nga – Internal control of Agribank Securities Co., Ltd.

- Ms. Hoang Thi Quyen – Deputy CEO of Vietnam Posts and Telecommunications Group.

8. Assigning the directorate to issue regulations:

- Internal business regulation.

- Recruitment regulation.

- Regulation of using enterprise consultancy.

9. Approving of rewarding the management board with 30% of above-plan profit and assigning the CEO to make a bonus distribution plan to the BOD approves. The bonus rate isn’t in excess 5% of total profit after tax.
