Educational Book JSC in Ho Chi Minh City announces the plan of stock private placement as follows:

-          Name of the issuer: Educational Book JSC in Ho Chi Minh City

-          Stock code: SGD

-          Stock type: Common stock.

-          Par value: VND 10,000.

-          Total volume of shares to be offered: 3,075,000 shares

• Offering method :

1.  Placement with outstading shareholders:

-    Offering volume:  3,000,000 shares

-    Exercise rate: 1:2 (shareholders are entitled to have 2 share purchase rights for every 1 share they own and they can buy 1 new share for every share purchase right at VND 10,000/share). Number of share purchase rights will be rounded down to unit digit. Odd lot shares and undistributed shares will be added to volume of shares to be placed with strategic shareholders.

-    Share purchase rights can be transferred only once to the third party is not allowed. In case transferer and tranferee registered in the same custody member, the transfer will be carried out in that company. Otherwise, the transfer will be in Viettinbank Securities company – Ho Chi Minh city branch.

-    Offering price: VND10,000/share

-    Record date for allotment of share purchase rights: 29/4/2009

-    Ex date: 27/4/2009

-    Time for transfer of share purchase rights of outstanding sharehoders: From 12/5/2009 to 10/6/2009
