HPG: Resolution of Shareholders’ Meeting 2009

Hoa Phat Group Joint Stock Company (HOA PHAT GROUP) has informed of resolution of the annual shareholders’ meeting on March 31, 2009 as follows:

Article 1: Approved and passed the below contents

* Passed the business plan in 2009 with sales achieving VND6,318bil. and profit after tax achieving VND585bil.

* Passed financial statements of 2008 that was audited by Deloitte Vietnam Co. Ltd.

* Issued the company’s regulation and authorized the BOD to amend the regulation in necessary cases; then the BOD will announce shareholders in the latest meeting.

* Passed the dividend payment plan of 2008 with ratio: VND3,000 / a share.

* Passed the distribution for funds in 2008 and a fund distribution plan in 2009 as follows:

* In year 2008: Financial reserve gets 5% of profit after tax; bonus and welfare fund gets 5% of profit after tax.

* Plan in 2009: Financial reserve gets 5% of profit after tax; bonus and welfare fund: authorizing the BOD to decide that.

* Passed the compensation for the BOD in 2009 not being over 1% of profit after tax and authorized the BOD to decide when there are financial statements in 2009.

* Passed the bonus plan for the management boards of Hoa Phat Group and subsidiaries when business result surpasses the expected plan (the expected bonus rate is maximum 5% of profit after tax achieved) and authorized the BOD to decide the bonus plan.

Article 2: The resolution has validity as of signed date. The BOD and the Management Boards of Hoa Phat Group and subsidiaries have to implement the issues in the Regulation.
