DST: Results of Annual General Meeting of Shareholders 2009

Nam Dinh Educational Book and Equipment JSC has disclosed the results of its Annual General Meeting of Shareholders held on 10/04/2009. The following resolutions were approved:

1. Report of Opearting result of 2008 and audited financial statement 2008

•        Operating result 2008:

- Revenue: VND 24,420,401,212

- Profit before tax: VND 1,361,387,659

- Profit after tax: VND 986,875,870

•        Profit distribution plan 2008:

- Profit before tax: VND 1,361,387,659

- Income tax payable: VND 374,511,789

- Profit after tax: VND 986,875,870

- Dividend payment 9%: VND 900,000,000

- Investment and development fund 5% : VND 49,343,790

- Reward and welfare fund 3%: VND 29,606,270

- Financial reserve fund: VND 13,478,693 (including VND5,552,883 of retained earnings of 2007)

- Salary fund: VND 921 million

3. Plan 2009:

- Revenue: VND 25.2 billion

- Profit after tax: VND 1.1 billion

- Dividend payout ratio: 12%

- Salary price unit: 800/VND1000 profit before tax

- Funds:

+ Financial reserve fund : 3% - 5%

+ Investment and development fund: 3% - 5%

+ Reward and welfare fund: 3% - 5%

- Remuneration for the Board of Directors and Supervisory Board: 3% - 4% profit before tax

- Selecting auditor for 2009: Auditing and Accounting Company Ltd.

- Increase Charter Capital 2009: The Board of Directors will decide when possible.
