S64: Results of Annual General Meeting of Shareholders 2009
Song Da 6.04 JSC has disclosed the results of its Annual General Meeting of Shareholders held on 25/03/2009. The following resolutions were approved:
1. Report of Opearting result of 2008
- Revenue: VND 77 billion
- Payables to the State: VND 5.8 billion
- Profit before tax: VND 5.594 billion
- Average income: VND 3.32 million/person/month
- Dividend payout ratio: 15%
- Investment: VND 14.4 billion
2. Plan in 2009
- Revenue: VND 115 billion
- Payables to the State: VND 6.7 billion
- Profit before tax: VND 5.866 billion
- Average income: VND 3.8 million/person/month
- Dividend payout ratio: 15-17%
- Investment: VND 19.7 billion
3. Profit and dividend payment 2008:
- Profit after tax: VND 4,830,193,864
- Profit distribution:
+ Funds: VND 1,830,193,864
Investment and development fund: VND 1,297,243,864 (of which from exempted income tax: VND 764,285,048)
Financial reserve fund (10%): VND 106,590,000
Reward fund (20%): VND 213,180,000
Welfare fund (20%): VND 213,180,000
+ Dividend payment (15%): VND 3 billion
4. Corporate governance:
- Reorganize the company towards merging to Song Da 6 JSC to increase effectiveness of capital, asset, and comparetitiveness of the company. Assigning the Board of Directors to prepare document and procedures for merging to get approval of extra general meeting of shareholders.
5. Changes in boards:
- Mr. Ho Sy Hung will hold director in place of Mr. Le Viet Hai
- Mr. Le Kim Hung will hold member of Supervisory Board in place of Mr. Doan Binh Long
6. Auditing company in 2009
The General Meeting of Shareholders assigned the Board of Directors to choose the auditing company approved by the SSC
7. Remuneration for Board of Directors and Supervisory Board and Secretary:
- 2008: VND 312 million
- 2009: VND 672 million
