DIC: Resolution of the BOD

DIC Investment and Trading Joint stock Company (DIC–INTRACO) has informed of resolution of the BOD as follows:

Article 1: Appointing Mr. Nguyen Duc Hai to be temporary chairman of the BOD

Article 2: Appointing Mr. Nguyen Duc Hai – General Director to be the legal representative of the company.

Article 3: Electing two members of the BOD

Mr. Duong Dinh Thai – current position: Finance Director of DIC–INTRACO

Mr. Le Thai Sam – current position: Chairman of the BOD of the Cuu Long Steel JSC.

Article 4: Passing resignation of Ms. Le Thi Thuy Nga from the position of head of the Supervisory Board.

Article 5: Appointing Ms. Nguyen Thi Tram Anh – Finance analyst to be member of the Supervisory Board.

Article 6: Passing business result in 2008 and plan for 2009

Article 7: Passing the 2008 consolidated financial statement

Article 8: Passing report of the BOD on business operation in 2008

Article 9: Passing report of the Supervisory Board in 2008 and its plan for 2009.

Article 10: Passing plans of profit distribution and dividend payment in 2008, issuance and listing of additional shares.

Dividend pay-out ratio: 19% (10% in cash and 9% in shares), equivalent to 609,296 shares

Issuing 406,197 bonus shares to existing shareholders with ratio 50:3

Issuing 414,552 shares to strategic partners under private placement method. Issuing price is no less than VND11,660/share.

Article 11: Passing compensation for the BOD and Supervisory Board in 2009

Article 12: Passing choosing an auditing company for 2009.

Article 13: Passing resignation of Ms. Dao Anh Phuong from the position of Deputy General Director of the company.

Article 14: Passing resignation of Mr. Dinh Ngoc Ninh from the position of chairman and member of the BOD and the legal representative of the company.

Article 15: Passing resignation of Mr. Dinh Hong Ky from the position of member of the BOD.

Article 16: Passing dismissing Ms. Pham Thi Minh Hien – the representative of the PetroVietnam Finance Joint Stock Corporation in DIC–INTRACO, from the position of BOD member.
