SFC: Record date for shareholder list
Saigon Fuel Company (SFC) announced the record date for Annual Meeting 2008, balloting shareholders, bonus issuance and dividend payment (Tranche 2/2008) in stock:
Ex-right date : February 26, 2009
Record date : March 02, 2009
Purpose: to hold Annual Shareholders’ Meeting, get shareholders’ ballots, issue bonus shares and pay the second tranche of 2008 dividend.
1. Annual Shareholders’ Meeting 2008:
+ Expected date: April 18, 2009
+ Venue: Victory Hotel, 14 Vo Van Tan, Dist. 3, Hochiminh City.
2. Getting shareholders’ opinions on paper:
+ Time: From March 11, 2009 to March 20, 2009
+ Contents need to be elected:
* Paying the third installment of 2008 dividend in stock;
* Issuing stock to raise charter capital to VND81 billion;
* Transferring the project at 143-145 Dien Bien Phu, Binh Thanh Dist., Hochiminh.
3. Issuing bonus shares:
+ Volume: 850,000 shares
+ Exercise ratio: 4:1 (A shareholder who owns 01 share will have one right and every four rights are equivalent to 01 new bonus share.)
+ Funds for the issuance: the company’s development fund.
+ The number of bonus shares issued to the existing shareholders will be rounded down.
* For example, at the record date, shareholder A owns SFC 953 shares, the calculation as follows:
* The number of shares distributed in theory: (953 x 1) / 4= 238.25 shares
* The number of shares in practice: 238 shares
4. Dividend payment (Tranche 2/2008) in stock:
+ Volume: 340,000 shares
+ Exercise ratio: 10% (or 10:1)
The one who owns 10 shares at the record date will receive 1 share as dividend. The volume will be rounded down. The fraction parts will be converted to cash at VND10,000 per share.
For example: At the record date, shareholder A currently owns 1,655 SFC shares, the calculation as follows:
* The number of shares distributed in theory: 1,655:10 = 165.5 shares
* The number of shares in practice: 165 shares
* The number of shares paid in cash: 0.5 share x 10,000vnd = 5,000vnd
Place & procedure of payment:
- Shareholders whose shares have been deposited: at the securities firms where the shares have been deposited.
- Shareholders whose shares have not been deposited: at Saigon Fuel Company (1A Pham Ngoc Thach St., Dist. 1, Hochiminh City) from March 12, 2009 to April 02, 2009
Vietnam Securities Depository _ HCMC Branch will temporarily suspend the depository activities for SFC on February 27 and March 02, 03, 2008.
