SD2: Plan of private placement
Song Da 2 JSC announces the plan of stock private placement approved in the Board Resolution on 26/08/2008 as follows:
- Name of the issuer: Song Da 2 JSC.
- Stock code: SD2.
- Stock type: Common stock.
- Par value: VND 10,000.
- Total volume of shares to be offered: 1,600,000.
- Total value of shares to be offered: VND 16,000,000,000.
- Offering method : private placement (with less than 100 investors).
- Subject of the placement: individual and institutional investors including:
+ Investors who are involved in business and production activities of the company;
+ Securities companies, investment funds, financial institutions;
+ Investors with financial, management and technological capacity who are willing to support and cooperate with the Company;
+ Investors who pledge to buy at least 10,000 shares and maximum of 240,000 shares.
Specific subjects and number of shares to be placed with will be negotiated and decided by the Board of directors at the time of placement.
- Offering price: at least VND 23,600/share.
Specific price for specific subject will be decided at the time of placement and based on negociation with specific subjects, however, no less than VND 23,600/share.
- Time of placement: September 2008.
- Plan of using the proceeds:
+ The expected proceeds of VND 37,760,000,000 will be invested in the projects the company has been carrying out and added to the working capital.
