NHC: Resolution of the BOD
Nhi Hiep Brick-Tile Joint Stock Company (BRICO) has informed of resolution of the BOD as follows:
* Approving of issuing bonus shares to existing shareholders to raise chartered capital 2008. Finance source of issuance is the undistributed profit 2007 which was exempted 50% of corporate tax.
* Approving of using the amount of VND913,973,054 from corporate tax exemption 2007 in order to issue bonus shares.
* Issuing volume: 85,491 shares
* Par value: VND10,000/share
* Issuing value: VND854,910,000
* Exercise ratio: 100:6 (a shareholder who owns 100 shares will receive 6 shares).
* Implementation method: The number of issuing volume is rounded in unit
* After getting approval for issuance, the company will do procedures to issue bonus shares based on contribution rate. The remaining of undistributed profit 2007 after issuing bonus shares will be processed later.
* Authorizing the accounting department to do procedures and inform of the record date for issuing bonus shares.
