VIC: Resolution of shareholders’ meeting

Vincom Joint Stock Company (VINCOM JSC) has informed of the resolution of shareholders’ meeting as follows:

Article 1: Issuing convertible bonds to foreign market in order to increase capital of business, advertise its brand name and diversify mobilizing channels:

• Bond type: convertible bond
• Issuer: Vincom Joint Stock Company
• Issuing volume: more than USD80 million
• Currency: USD
• Maturity: from 3 to 5 years
• Convertible time: end of year 3
• Interest (% per annum): from 3% to 7%/ year (coupon bond)
• Convertible stock type: common shares
• Issuing method: Private placement with underwriting
• Issuing form:  Certificate or/and book entries
• Expected implementation time: from Q3 to end of Q4/08

Article 2: Source of shares used to convert including (i) treasury stock and/or (ii) if not enough, it issues common shares.

Article 3: Passing listing shares on the Singapore Exchange Limited (SGX) at the appropriate time after completing offer of international convertible bonds.

Article 4: Authorizing the BOD to offer convertible bonds and list shares:

• Issuing time, face value, issuing price, bond related obligations, method of issuing bonds and using capital from issuance, payment plan in case which bond owners do not convert their bonds into shares;
• Completing listing registration documents, listing volume and price, procedures on listing stock on the Singapore Exchange Limited;
• Necesessary procedures on issuing and listing shares.
