DIC: Resolution of BOD
DIC Investment and Trading Joint stock Company (DIC–INTRACO) has informed of resolution of BOD as follows:
Report on business result in 2007:
+ Total output value: VND616,282 million, gaining 123% of plan
+ Actual revenue: VND595,779 million, gaining 125.5% of plan
+ Actual profit: VND15,716 million, gaining 165.5% of plan, 47.5% of chartered capital
Pass report of internal supervision.
Pass setting up funds and dividend payment 2007
+ Fund of financial reserve: 7%/ profit after tax
+ Fund of welfare and reward: 10%/profit after tax
+ Fund of development investment: 14%/profit after tax
+ Dividend payment in cash 2007: 19% (VND1,900/share)
Choose Hanoi Company Profession of Auditing & Accounting Ltd.
Allowance for BOD and Supervisory Board 2007 was VND157,600,000. Plan of allowance in 2008 is around VND250-300 million.
Business plan for 2008:
+ Total output value: VND708,000 million, increasing 15% compared to 2007
+ Revenue: VND667,000, increasing 12% compared to 2007
+ Profit after tax: VND30,000 million, gaining 38%/chartered capital
Pass adjustment of regulations
Give suggestion in the shareholders’ meeting to appoint Ms Pham Thi Minh Hien – assistant manager of financial investment and service department to be member of BOD instead of Mr Cao Duy Dong.
Buy shares back for treasury stock but not exceeding 10% of chartered capital. Finance sources are from share premium account, fund of development investment and retained profit.
