HBC: Resolution on the EGM 2022 Hoa Binh Construction Group Joint Stock Company announces the Resolution of Extraordinary General Meeting 2022 with the following contents:
1. Approved the adjustment, cutting and supplement of some of business lines:
- Adjustment of industry codes: 6810, 4290, 4220, 4390.
- Cutting of industry codes: 4659, 7911, 5510.
- Suplement of industry codes: 4299.
2. Approved the amendment of the Company’s charter.
3. Approved the amendment of the Internal Regulation on Corporate Governance and Operating Regulation of the Board of Directors.
4. Approved the plan for the first share private placement in 2022:
- Stock name: Hoa Binh Construction Group Joint Stock Company
- Stock code: HBC
- Stock type: common share
- Par value: VND10,000/share
- Issue volume: 5,000,000 shares
- Total value of issue (at par value): VND50,000,000,000
- Issue price: VND32,500/share
- Plan for using capital: total proceeds from the offering will be used to pay construction materials cost.
- Transfer restriction: 01 year from the ending dated of the issuance.
- Time of implementation: expected in Quarter III/2022 or Quarter IV/2022, after being approved by the State Securities Commission of Vietnam (SSC). HOSE
