C47: Resolution on the EGM 2020 Construction Joint Stock Company 47 announces the Resolution of Extraordinary General Meeting 2020 dated November 08, 2020 with the following contents:
1) The EGM approved the amendment, supplement of the company’s charter.
2) The EGM approved the plan to issue convertible bonds according to the private issuance:
- Issuer: Construction Joint Stock Company 47
- Bond type: convertible bond, without warrants
- Total value of issue: VND 80,000,000,000
- Par value: VND 100,000/bond
- Bond volume: 800,000 bonds
- Issue price: 100% par value
- Bond term: 12 months from the issue date
- Expected issue time: 2020 – 2021
- Bond interest rate: 10.0%/year
- Interest payment term: 6 month /time
- Convertible price: 10,000 dongs/share
- Convertible ratio: 1:10 (01 bond will be converted 10 shares with the convertible price of 10,000 dongs/share).
- Convertible execution time: at the maturity date of bond.
- Purpose of using capital: Total proceeds from the issuance of VND 80 billion bonds will be used to supplement its working capital.
3) The EGM approved the plan to pay dividends and bonus shares for 2019:
- Exercise ratio: 3.00%
- Payment form: cash or stock
- Bonus shares: 7% from equity surplus. HOSE
