D2D: Resolution on the EGM 2020 Industrial Urban Development Joint Stock Company No.2 announces the Resolution of Extraordinary General Meeting 2020 dated October 12, 2020 with the following contents:
1.The EGM approved the plan to issue shares for capital increase from the owner’s equity:
- Stock name: Industrial Urban Development Joint Stock Company No.2
- Stock type: common share
- Par value: VND 10,000/share
- Current charter capital: VND 213,549,840,000
- Number of shares issued: 21,354,984 shares; Of which:
+ Number of outstanding shares: 21,309,968 shares
+ Number of treasury shares: 45,016 shares
- Expected charter capital to increase:
+ Charter capital before issuing: VND 213,549,840,000
+ Expected charter capital to increase: VND 89,501,860,000
+ Charter capital after issuing: VND 303,051,700,000.
- Issuance form: to issue shares for capital increase from the owner’s equity.
- Number of shares expected to be issued: 8,950,186 shares
- Total value (based on par value): VND 89,501,860,000
- Issue ratio: 42%
- Exercise ratio: 100:42 (shareholder who owns 01 share will receive 01 right, and with every 100 rights will be entitled to have 42 new shares).
- For example: At the record date, the shareholder B owns 10 shares. With 100:42 performing ratio, the shareholder B will purchase: 10 * 42/100 = 4.2 shares. According to rounding policy, the shareholder A purchases 04 new shares. The fractional shares of 0.2 will be cancelled.
- Time of implementation: expected in Quarter 4/2020 or Quarter 1/2021 after being approved by the State Securities Commission of Vietnam (SSC).
- The EGM approved the amendment of the Company’s charter for new charter capital.
- The EGM approved to register to deposit at the Vietnam Securities Depository (VSD) and list on the Hochiminh Stock Exchange (HOSE).
