IMP: BOD resolution No.39 _ 11 Aug 2020 The Board resolution No.39 dated August 11, 2020, the BOD of Imexpharm Corporation (IMP) approved the following issues:
1) Approving the stock issuance under ESOP:
- Stock type: common share
- Number of outstanding shares at 12/31/2019: 49,387,359 shares
- Number of shares expected to be issued: 2,469,300 shares, equivalent to 5% number of outstanding shares
- Par value: VND 10,000/share
- Issue price: VND 12,000/share
- Time of implementation: Quarter 3.2020 and Quarter 4.2020
- Transfer restriction time: according to the regulation of stock issuance under ESOP.
2) Approving the dossier of stock issuance under ESOP:
- Report on stock issuance under ESOP (PL18);
- Minutes & Resolution of 2020 General Meeting of Shareholders; Proposal No.24/TTr-HĐQT-IMP dated May 14, 2020 regarding the additional issuance to raise charter capital.
- Minutes & Board resolution dated August 11, 2020;
- Decision on enforcing the Regulation of stock issuance under ESOP by the Board of Directors.
- Explanation of voting rate at the 2020 General Meeting of Shareholders of the related persons related in the ESOP list.
- Audited financial statements in 2019; Reviewed financial statements in six months of 2020.
