TN1: Board resolution on stock dividend payment On July 14, 2020, the Board of Directors of TNS Holdings approved a share issue for the 2019 dividend payment as follows:
− Stock type: common stock
− Par value: 10,000 dongs/share
− Outstanding volume: 13,300,000 shares
− Treasury shares: 0 shares
− Estimated issue volume: 4,256,000 shares
− Total issue value: 42,560,000,000 dongs
− Financial resource: the undistributed after-tax profit at 12/31/2019
− Issue date: in Quarter III – Quarter IV of 2020, after the State Securities Commission adopts the share issue.
− Dividend payment ratio: 32%
− Exercise ratio: 100:32 (Those who own 01 share will receive 01 right, and with every 100 rights will receive 32 new shares.)
− Plan to deal with fractional shares: The shares newly issued to shareholders will be rounded down to units. The fractional shares (if any) will be cancelled.
For example, on the record date, shareholder A owns 1,120 shares. Shareholder A will receive: 1,120 x 32% = 358.4 shares. After rounded down, the real number of shares shareholder A receives will be 358 shares. The fractional part (0.4) will be cancelled. HOSE
